Theobyte.ai provides AI-powered retail automation and export readiness services, including:
- • 60-day pilot program for U.S. retailers seeking export readiness
- • Consulting and automation deliverables for inventory forecasting, pricing, and compliance
- • Read-only data access by default to ensure security and data protection
- • Supply chain risk scoring and vendor management solutions
Client Responsibilities
As a client, you agree to:
- • Provide accurate information about your business and export goals
- • Use our services in a lawful manner and comply with all applicable regulations
- • Provide timely access to necessary data and systems (read-only by default)
- • Communicate openly about your business needs and challenges
- • Respect intellectual property rights and confidentiality agreements
Fees & Payment Terms
60-Day Pilot Program
- • Total Cost: $2,500
- • Payment Schedule: 50% upfront ($1,250), 50% at completion
- • Payment Terms: Net 15 days from invoice date
Late payments may incur a 1.5% monthly service charge. We reserve the right to suspend services for accounts more than 30 days past due.
Intellectual Property
- • Theobyte.ai IP: We retain ownership of our proprietary platform, processes, and methodologies
- • Client Data: You retain ownership of all your business data and information
- • Deliverables: Rights to specific deliverables and reports will be licensed or assigned per the Statement of Work (SOW)
- • Improvements: Any improvements to our platform based on client engagement benefit our overall service offering
Confidentiality & Data Security
We are committed to protecting your confidential business information:
- • All client data is treated as confidential and protected with industry-standard security measures
- • We maintain read-only access by default to minimize security risks
- • Data is encrypted in transit and at rest
- • Access is limited to authorized personnel on a need-to-know basis
- • We comply with applicable data protection regulations
Disclaimers
No Guarantee of Specific Outcomes: While our pilot program is designed to improve your retail operations and export readiness, we cannot guarantee specific financial results, GMV improvements, or ROAS increases.
Best-Effort Approach: We provide services using industry best practices and proven methodologies, but results depend on many factors including market conditions, client implementation, and external economic factors.
Limitation of Liability
To the maximum extent permitted by law, Theobyte.ai's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business opportunities.
Termination & Refunds
- • Either party may terminate the engagement with 15 days written notice
- • Refunds are considered on a case-by-case basis and may be pro-rated based on work completed
- • In case of early termination, client retains access to all deliverables completed up to termination date
- • Outstanding invoices remain due regardless of termination
Governing Law
These Terms of Service are governed by the laws of the State of Arkansas, USA. Any disputes arising from these terms or our services will be resolved in the courts of Arkansas.
